Terms of Service

1. Acceptance of Terms

By accessing or using CertAddress (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

CertAddress provides AI-powered address validation and normalization services for Italian postal addresses. The Service includes:

• A REST API for programmatic address validation
• A web-based client portal for account management, API key management, and usage monitoring
• Address normalization, parsing, and confidence scoring

The Service validates addresses against geographic databases and returns normalized results with confidence scores.

3. Account Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials and API keys.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access to your account.
• We reserve the right to approve or reject account registrations at our sole discretion.
• Accounts are activated after review and approval by our team.

4. API Keys and Usage

• API keys are confidential and must not be shared with unauthorized parties.
• You are responsible for all API calls made using your keys.
• Rate limits apply based on your subscription plan. Exceeding these limits may result in temporary throttling or suspension of access.
• We reserve the right to revoke API keys that are misused or compromised.

5. Acceptable Use

You may use the Service only for lawful business purposes. You agree not to:

• Reverse-engineer, decompile, or disassemble any part of the Service
• Attempt to access other users' data or accounts
• Use the Service to build a competing product or service
• Resell, redistribute, or sublicense the Service without prior written authorization
• Submit deliberately malicious, fraudulent, or illegal data
• Attempt to circumvent rate limits, authentication, or other security measures

6. Service Level and Availability

• We aim to provide high availability but do not guarantee 100% uptime.
• The Service may be temporarily unavailable for maintenance, updates, or due to unforeseen technical issues.
• We will make reasonable efforts to notify users of planned maintenance in advance.
• No Service Level Agreement (SLA) guarantees apply unless explicitly agreed upon in a separate enterprise agreement.

8. Limitation of Liability

• To the maximum extent permitted by applicable law, our total aggregate liability for any and all claims arising out of or related to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• These limitations apply regardless of the legal theory upon which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise.

9. Third-Party Services

Our Service relies on third-party geographic databases and geocoding services to validate and enrich addresses.

• We are not responsible for the accuracy, availability, or performance of third-party services.
• Changes or disruptions in third-party services may affect the availability or accuracy of our Service.

10. Intellectual Property

• The Service, including its AI models, algorithms, software, and documentation, is the intellectual property of 3V Solution and is protected by applicable intellectual property laws.
• You retain ownership of the address data you submit to the Service.
• You grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service.
• You may not copy, modify, distribute, or create derivative works of any part of the Service.

11. Pricing and Payment

• Pricing is based on the subscription plan selected for your account. Custom pricing may be negotiated for enterprise customers.
• All prices are exclusive of VAT (IVA), which will be applied as required by Italian law.
• For Italian customers, invoices are issued electronically via SdI (Sistema di Interscambio) as required by Italian law (D.Lgs. 127/2015 and subsequent amendments).
• For EU customers outside Italy, intra-EU VAT rules apply (reverse charge mechanism where applicable per Art. 7-ter D.P.R. 633/1972).
• We reserve the right to modify pricing at any time, with at least 30 days' advance notice to existing customers.
• Failure to pay outstanding invoices within the payment terms specified on the invoice may result in suspension or termination of your account.
• No refunds are provided for partial billing periods or unused API calls.

12. Termination

• You may close your account at any time by contacting our support team.
• We may suspend or terminate your account if you violate these Terms or engage in abusive behavior.
• Upon termination, your right to access and use the Service ceases immediately.
• We may retain your data as required by applicable law and in accordance with our Privacy Policy.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Italy, without giving effect to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Udine, Italy.

For consumer-related matters (where applicable), the consumer's right to bring proceedings before the court of their habitual residence under EU Regulation 1215/2012 is preserved.

14. Changes to Terms

We may modify these Terms at any time. We will notify registered users of material changes via email or through the client portal.

Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
